Mochi End User License Agreement

Version 1.0. Effective October 14, 2026.

This End User License Agreement (the "Agreement") is between you and Dockery Labs LLC, a Massachusetts limited liability company ("Dockery Labs", "we", "us"). It covers Mochi: the mochi command-line program, the Mochi desktop app, their documentation, and any updates we provide (together, the "Software").

By installing or using the Software, you agree to this Agreement. If you are accepting it for an organization, you confirm that you can bind that organization, and "you" includes it. If you do not agree, do not install or use the Software.

1. License

Subject to this Agreement and to paying any applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable license to install and use the Software, for personal or commercial purposes, on devices you own or control.

A license is for one person. That person may use the Software on any of their own devices. An organization needs a license for each person who uses the Software.

2. License types

Trial. A trial license is free, lasts seven days from when it is issued, and then stops working. It includes everything a one-time license does except the managed AI service described in section 3. Trials are limited to one per person and per device.

One-time license. A one-time license lets you use, indefinitely, every version of the Software released during your update period. The update period is 12 months from purchase, and each update renewal you buy extends it by 12 months. Versions released after your update period ends are not covered until you renew.

Pro subscription. A Pro subscription lets you use the Software, including every update, while the subscription is active. If a subscription ends after it has been active for at least 12 months, you keep a one-time license to every version released on or before the day it ended. Otherwise, your license ends when the subscription ends.

Prices, billing, taxes and refunds are as shown when you buy. Purchases are processed by our payment provider, whose checkout terms apply to the purchase.

3. AI features

Some features send requests to an AI model. You can use our managed AI service, which is included with some plans and purchases and is measured in credits, or connect a provider of your own choosing.

  • Credits included with a plan renew each month and do not carry over. Credits bought separately do not expire. Credits have no cash value and cannot be transferred.
  • When you use an AI feature, the content involved (your request and the context the feature gathers, such as task definitions, scripts and run output) is sent to the AI provider that serves it. For the managed service, that is a provider we choose. For your own provider, it is that provider, under its terms.
  • AI output can be wrong. Review it before relying on it.
  • The Software's AI agent can run commands on your machine when your settings allow it. You are responsible for the approval settings and workspace trust you configure, and for the commands you approve.

4. License keys and validation

Mochi's own features need a license key. The open-source Flow features included in the Software work without one.

  • Keep your key confidential and do not share it.
  • The Software checks your key with our servers from time to time. If it cannot reach them, it keeps working for 14 days after the last successful check. A one-time license keeps working offline indefinitely for the versions it covers.
  • A key may stop working if the purchase is refunded or charged back, or if you breach this Agreement.

5. Restrictions

You may not:

  • share your license key, or let more than one person use one license;
  • circumvent, disable or interfere with license checks or usage limits;
  • copy, redistribute, sell, rent, lease or sublicense the Software, or offer it to others as a hosted service;
  • reverse engineer, decompile or disassemble the Software, except where applicable law allows it despite this restriction;
  • remove or alter any proprietary notices in the Software; or
  • use the Software in violation of any law.

6. Open-source components

The Software includes Flow, which is open-source software under the MIT License, and other open-source components under their own licenses. This Agreement does not limit any rights those licenses give you. Where an open-source license conflicts with this Agreement, the open-source license governs that component.

7. Your data

Your projects, scripts and data stay on your devices, except that:

  • validating a license sends your license key to our servers;
  • starting a trial sends the email address you provide;
  • anonymous usage reporting is off unless you turn it on, and you can turn it off at any time; and
  • AI features send content as described in section 3.

8. Updates

The Software may check for and offer updates. We may add, change or remove features. We are not obliged to provide updates beyond those your license includes.

9. Ownership and feedback

The Software is licensed, not sold. We and our licensors keep all rights in it not expressly granted to you. If you send us feedback or suggestions, we may use them without obligation to you.

10. Termination

You may stop using the Software at any time. This Agreement ends automatically if you breach it. When it ends, you must stop using the Software and delete your copies. Sections 6, 9, 10, 11, 12, 14 and 15 survive termination.

11. Disclaimer of warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY OUTPUT, INCLUDING AI OUTPUT, WILL BE ACCURATE.

12. Limitation of liability

TO THE EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, REVENUE OR BUSINESS, ARISING FROM OR RELATED TO THE SOFTWARE, EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF THEM. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SOFTWARE IS LIMITED TO THE AMOUNT YOU PAID FOR IT IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow these exclusions or limits, so some of them may not apply to you.

13. Export

You may not use or export the Software in violation of United States export laws or sanctions, or other applicable export laws.

14. Changes to this Agreement

We may revise this Agreement. A revision applies to versions of the Software released after its effective date. The version of this Agreement included with a release of the Software governs that release.

15. General

  • Governing law. The laws of the Commonwealth of Massachusetts govern this Agreement, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
  • Venue. The state and federal courts located in Massachusetts have exclusive jurisdiction over any dispute arising from this Agreement, and you and we consent to their jurisdiction.
  • Entire agreement. This Agreement, together with the terms of your purchase, is the entire agreement between you and us about the Software.
  • Severability. If any provision is found unenforceable, the rest remains in effect.
  • No waiver. Not enforcing a provision is not a waiver of it.
  • Assignment. You may not assign this Agreement without our written consent. We may assign it as part of a merger, acquisition or sale of assets.
